Welcome to Make New Friends & Co. ("MNF&CO"). These Terms of Service ("Terms") govern your access to and use of our website (makenewfriendsandco.com) and our boutique professional services, including but not limited to Operational Strategy, Strategic Branding, Experience Leadership, Strategic Partnerships, Nonprofit Strategy, Virtual Assistance, and related business growth consulting or execution services (collectively, the "Services").

By accessing our website, scheduling a consultation, downloading resources, or engaging MNF&CO for Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our website or services.

1. Services and Engagements

MNF&CO operates as a strategic extension of your team, aligning your corporate vision with execution, creativity, and resources. The specific scope, deliverables, timeline, and fees for any project engagement will be explicitly outlined in a separate Statement of Work ("SOW") or Master Services Agreement ("MSA") signed by both parties. In the event of any conflict between these Terms and an active SOW, the terms of the SOW shall prevail for that specific engagement.

2. Client Cooperation and Obligations

Because MNF&CO operates as an embedded extension of your team, our ability to deliver results relies on your timely cooperation, open communication, and provision of necessary corporate resources, brand assets, data, and administrative approvals. Delayed responses or failure to provide agreed-upon infrastructure materials may result in project delays or adjustments to project timelines and scopes.

3. Fees, Invoicing, and Payment

  • Payment Terms: Fees for our Services will be detailed in your specific SOW. Standard payment terms require payment within fifteen (15) days of the invoice date unless otherwise negotiated and documented.
  • Late Payments: Overdue invoices may incur interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower, along with any collection costs incurred.
  • Third-Party Costs: The Client is solely responsible for all external, third-party expenses (e.g., live activation venue deposits, event rentals, print production, software subscriptions, third-party advertising spend) required to complete the project. These expenses will be pre-approved by the Client in writing.

4. Intellectual Property

Our Intellectual Property: MNF&CO retains all rights, title, and interest in our proprietary consulting methodologies, workflows, frameworks, checklists, audits, and pre-existing templates used to deliver the Services.

Client Deliverables: Upon full and final payment of all outstanding invoices, MNF&CO assigns to the Client all intellectual property rights for custom branding collateral, strategic roadmaps, and event plans explicitly created for the Client under an active SOW. MNF&CO retains the right to showcase anonymized or mutually agreed-upon project milestones within our professional marketing portfolio.

5. Confidentiality

Both parties agree to safeguard and maintain strictly confidential all non-public, proprietary business strategies, corporate administrative data, financial metrics, and user information shared during our collaboration. Confidential information shall not be disclosed to any third party without explicit written consent, except as strictly required by legal mandate.

6. Cancellations and Termination

  • Termination for Convenience: Either party may terminate an ongoing strategic advisory engagement by providing thirty (30) days' written notice, subject to any minimum commit periods or lock-in terms established in the SOW.
  • Settlement of Outstanding Balances: Upon termination, the Client is obligated to compensate MNF&CO for all professional Services rendered and non-refundable expenses incurred up to the effective date of termination.
  • Live Activation Execution: For live event productions, conferences, and activations ("Experience Leadership"), specific non-refundable deposit schedules and third-party vendor cancellation liabilities are governed strictly by the dedicated event SOW.

7. Disclaimers and Limitation of Liability

No Guarantees of Outcome: While MNF&CO is 100% committed to execution with absolute precision, operational composure, and grace, we do not guarantee specific financial results, market placement gains, direct sales conversions, or lead volume metrics from our strategic consulting or brand representations.

Limitation of Liability: To the maximum extent permitted by applicable law, MNF&CO shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or market opportunities. MNF&CO’s total aggregate liability for any claim arising out of these Terms or our Services shall not exceed the total fees paid by the Client to MNF&CO in the three (3) months preceding the event giving rise to liability.

8. Indemnification

You agree to indemnify, defend, and hold harmless MNF&CO and its officers, directors, employees, and strategic partners from any third-party claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from your breach of these Terms, violation of third-party intellectual property, or the misuse of the final deliverables provided by MNF&CO.

9. Changes to These Terms

MNF&CO reserves the right to modify or update these Terms of Service at any time. We will notify our client network of material updates by revising the "Last Updated" date at the top of this document. Continued collaboration with our firm or use of our digital platforms following changes constitutes your formal acceptance of the updated Terms.
